Terms and Conditions
1. Web Maintenance Exclusivity
1.1 This agreement (“Agreement”) is entered into between Outsoar PH (“Provider”) and The Client (“Client”) to establish the terms and conditions for the exclusivity of the proposal outlined herein.
1.2 Provider and Client agree that the proposal, including any associated ideas, concepts, designs, and other materials, shall remain exclusively between Provider and Client.
1.3 Provider and Client acknowledge and agree that the Proposal is confidential and proprietary information and may contain trade secrets, intellectual property, or other valuable assets. As such, both parties shall treat the Proposal with the utmost confidentiality and take reasonable measures to protect its secrecy.
2. Payment
Fees for Outsoar PH are based on the pricing table provided above. Monthly service fees will be invoiced on the first business day of each calendar month and are due seven days after the invoice date. All payments should be made in Philippine Pesos (PHP).
3. Completion
Outsoar PH and The client must work together to complete the project promptly. Outsoar PH agrees to work expeditiously to complete the project no later than the launch date (depending on the date of acceptance of the agreement).
4. Assignment of Project
Outsoar PH reserves the right to assign subcontractors to this project to insure the right fit for the job and on-time completion.
5. Revision During Execution
The client may be charged additional fees if it decides to make changes to the agreed-upon project scope and objectives.
6. Legal & License
Outsoar PH warrants that the functions contained in this project will meet The client’s requirements and that the operation will be reasonably error-free.
The entire risk as to the quality and performance of the project is with
The client In no event will Outsoar PH be liable to The client or any third party for any damages, including any lost profits, lost savings, or other incidental, consequential, or special damages arising out of the operation of or inability to operate the Application, even if Outsoar PH has been advised of the possibility of such damages.
If any provision of this agreement shall be unlawful, void, or for any reason is unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions.
7. Copyrights & Trademarks
The client represents to Outsoar PH unconditionally guarantees that any elements furnished to Outsoar PH. for inclusion in the project are owned by The client, or that The client has permission from the rightful owner to use each of these elements and will hold harmless, protect, and defend Outsoar PH and its subcontractors from any claim or suit arising from the use of such elements furnished by The client.
8. Copyright to Project
Outsoar PH guarantees that all aspects of the design and construction of the project will be disclosed to The client upon completion, full code, copyrights, and ownership will be the sole property of The client, Outsoar PH retains the right to display graphics and other design elements as examples of its work in its portfolio.
9. Sole Agreement
The agreement contained in this Contract constitutes the sole agreement between Outsoar PH and The client regarding this project. A written change order must authorize any additional work not specified in this contract. All prices defined in this contract will be honored for three (3) months after both parties sign this contract. Continued services after that time will require a new agreement.
